Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MDRM IQ platform operated by Unomia Labs LLC (“we,” “us,” or “our”) at mdrmiq.com. By accessing or using MDRM IQ, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Nature of the Service

MDRM IQ is an informational and exam preparation tool. It provides data, context, historical findings, regulatory citations, and AI-generated analysis to assist community bank compliance and risk management professionals.

MDRM IQ is not a decision-making tool. The platform does not:

• Make regulatory decisions or recommendations on your behalf.
• Predict examination outcomes or regulatory actions.
• Prescribe specific courses of action.
• Provide legal, financial, or regulatory advice.

All outputs from MDRM IQ — including intelligence briefs, audit flags, exam readiness scores, and AI-generated content — are for informational and reference purposes only. You are solely responsible for any decisions you make based on information provided by the platform.

2. Data Accuracy

MDRM IQ sources data primarily from publicly available FDIC call report records via the FDIC BankFind API. While we make reasonable efforts to ensure accuracy and timeliness:

• We do not guarantee the accuracy, completeness, or currency of any data displayed on the platform.
• FDIC data may be subject to reporting lags, corrections, or amendments by the originating institutions.
• Regulatory thresholds and citations are based on published guidance and may change without notice.
• AI-generated content may contain errors, omissions, or inaccuracies. Always verify AI-generated output against primary sources.

3. Account and Access

To access paid features, you must create an account using a valid email address. You are responsible for:

• Maintaining the security and confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us promptly of any unauthorized access or use of your account.

4. Subscription Terms

• Billing: Subscriptions are billed monthly or annually, as selected at checkout, and processed through Stripe.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial billing periods.
• Price changes: We may adjust pricing with 30 days' written notice. Founders pricing, where applicable, is locked for the stated commitment period.
• Per-institution pricing: Each subscription covers one FDIC-insured institution. Monitoring additional institutions requires additional subscriptions.

5. Acceptable Use

You agree not to:

• Resell, redistribute, or sublicense access to MDRM IQ or its outputs without our prior written consent.
• Scrape, crawl, or use automated means to extract data from the platform beyond normal API usage.
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
• Use the platform for any unlawful purpose or in violation of any applicable regulations.
• Share account credentials with individuals outside your organization.
• Interfere with or disrupt the platform's infrastructure, security, or availability.
• Misrepresent MDRM IQ outputs as regulatory guidance, legal advice, or official examination findings.

6. Intellectual Property

Our property: The MDRM IQ platform, including its design, code, rules engine, scoring methodology, AI prompts, and documentation, is owned by Unomia Labs LLC. All rights are reserved.

Your data: You retain ownership of any data you provide to the platform, including uploaded portfolio files and account information. By using MDRM IQ, you grant us a limited license to process your data solely for the purpose of providing the services.

FDIC data: Publicly available FDIC data is not proprietary to either party.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• MDRM IQ is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Unomia Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform.
• Our total aggregate liability for any claims arising from these Terms or your use of the platform shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.
• We are not liable for any regulatory action, examination outcome, financial loss, or business decision made in reliance on information provided by the platform.

8. Indemnification

You agree to indemnify and hold harmless Unomia Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may suspend or terminate your access to MDRM IQ at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) will survive.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of MDRM IQ after changes are posted constitutes acceptance of the revised Terms.
